Acceptance of Terms

By accessing or using the SocialAssist platform, whether through our website, mobile application, or other means (collectively referred to as the "Platform"), you signify that you have read, understood, and agree to be bound by these Terms and Conditions, along with any other applicable laws and regulations. If you do not accept and agree to be legally bound by and comply with these Terms and Conditions, you are not authorized to use the Platform or any services offered by SocialAssist.


SocialAssist grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the website strictly in accordance with the terms of this Agreement.


Your agreement to these Terms and Conditions applies to all users of the Platform, including without limitation users who are browsers, vendors, customers, merchants, and/ or contributors of content. If you access the Platform on behalf of an entity, you are agreeing to these Terms and Conditions for that entity and represent that you have the authority to bind that entity to these terms. In that case, "you" and "your" will refer to both the individual user and that entity.


We reserve the right to update, change, or replace any part of these Terms and Conditions by posting updates and/or changes to our website. It is your responsibility to check the website periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes.

Definitions and Interpretation

In these Terms and Conditions, unless the context otherwise requires, the following terms shall have the specified meanings:


"Platform": Refers to the SocialAssist software-as-a-service (SAAS) offering and all its components, features, and associated services, accessible via the website socialassist.social or any other authorized access point, application, or interface.


"Content": Refers to any information, data, text, images, videos, audio, or other multimedia materials, whether generated, uploaded, shared, or disseminated by users or provided by SocialAssist, including content generated by AI algorithms.


"Users": Refers to any individuals, entities, or agents who register, interact with, or utilize the Platform in any capacity, including but not limited to browsing, generating, sharing, or disseminating content. This encompasses registered members, guests, subscribers, contributors, and affiliates.


"Services": Refers to all offerings, functionalities, tools, and provisions made available to users via the Platform, including but not limited to content generation, content sharing, AI-based recommendations, scheduling tools, subscription services, and support.


Any reference in these Terms and Conditions to "we," "our," or "us" refers to SocialAssist, and any reference to "you" or "your" refers to the user, whether an individual or entity, of the Platform.


Where the context permits, the singular form shall include the plural form and vice versa. Any gender-specific term includes the other genders. The term "including" or "includes" means "including, but not limited to" and shall not be construed to limit any general statement that it follows to the specific items immediately following it.

Registration, Account Security, and Responsibilities

a. Account Creation: To access certain features and services on the Platform, users must register for an account. During the registration process, users may be required to provide certain personal and non-personal information, all of which must be accurate, current, and complete.


b. Account Confidentiality: Upon completing the registration process, users will receive or will have chosen a username and password. Users are entirely responsible for maintaining the confidentiality of their username, password, and any other piece of account-related information. SocialAssist shall not be liable for any unauthorized use of any user's account.


c. Account Security: Users must take reasonable steps to secure their accounts, including but not limited to using strong passwords, regularly updating passwords, and ensuring the secure storage of login credentials. SocialAssist cannot and will not be liable for any loss, damage, or other liabilities arising from a user's failure to maintain account security.


d. Account Activities: Users are responsible for all activities that occur under their account, whether conducted by themselves or by a third party, and must notify SocialAssist immediately of any unauthorized use of their account or any other breach of security.


e. Account Information Updates: Users agree to promptly update their account information in the event of any changes to ensure the accuracy of the information provided to SocialAssist.


f. Account Termination: SocialAssist reserves the right to suspend or terminate any user account if it reasonably believes that the user has violated any provision of these Terms and Conditions or that the user's actions may cause harm, loss, or legal liabilities to SocialAssist, its affiliates, or other users.


g. Representation and Warranties: Users who register on behalf of a business, organization, or another entity represent and warrant that they are authorized to act on behalf of that entity and bind it to these Terms and Conditions.


h. Age Restrictions: The Platform is not intended for individuals under the age of 18 without the consent of a parent or guardian. By creating an account, users represent and warrant that they are at least 18 years of age, or, if not, that they have received the necessary parental or guardian consent.


By accessing and using the Platform, users acknowledge that they are solely responsible for any and all consequences arising from such use, and they agree to indemnify and hold harmless SocialAssist from any damages, losses, costs, or expenses incurred by SocialAssist as a result of any unauthorized or non-compliant use of the Platform.

Services, Subscription, and Payment

a. Service Overview: SocialAssist offers a platform that enables users to generate, schedule, and disseminate content to their respective social media accounts using AI algorithms and various other tools.


b. Trial Period: SocialAssist provides a two-week limited trial for users to experience the platform's features. Once the trial period expires, continued access to the full suite of services requires a paid subscription.


c. Subscription Details: By opting for a subscription following the trial period, users agree to pay the specified fees, which are processed via Payfast. The subscription rates, durations, and features will be clearly outlined on our Platform.


d. Currency and Conversion: All fees are denominated in South African Rands (ZAR). If payments are made using a different currency, Payfast will handle the conversion to ZAR. Exchange rates and conversion fees determined by Payfast or associated banks will apply.


e. Payment Obligations: Users are responsible for providing accurate billing information and for paying all applicable fees related to their subscription. Failure to comply may result in account suspension or termination.


f. Refunds and Cancellations: Unless otherwise specified in any promotional or discount offers, all payments are non-refundable. Users can cancel their subscription at any time, but fees already paid will not be refunded, and users may be liable for any outstanding payments.


g. Service Modifications: SocialAssist reserves the right to modify, suspend, or discontinue any part or all of its services at any time, with or without notice. SocialAssist shall not be liable to users or any third-party for any modification, suspension, or discontinuance of the services.


h. Payment Gateway: The use of Payfast as a payment gateway subjects users to the terms and conditions and privacy policies of Payfast. SocialAssist is not responsible for the actions, services, or content of Payfast.


i. Automatic Renewals: Unless users notify SocialAssist before the end of the applicable subscription period that they wish to terminate or do not consent to an automatic renewal, their subscription will automatically renew for the same duration, and they authorize us to collect the applicable subscription fee using any credit card or other payment mechanisms we have on record.


j. Taxes: Fees do not include any taxes, levies, duties, or similar governmental assessments (collectively, "Taxes"). Users are responsible for paying all Taxes associated with their subscription. If SocialAssist is required to pay or collect any Taxes on a user's behalf, such Taxes will be billed to that user.


By using the services and subscribing to the Platform, users acknowledge that they have read, understood, and agreed to fulfill all financial obligations, and they consent to any financial transactions processed in connection with their use of SocialAssist.

Content Creation, Review, and Responsibility

a. Content Generation: SocialAssist employs AI technology to assist users in generating content for their social media accounts. While our AI strives for accuracy and relevance, SocialAssist cannot guarantee the perfection or absolute suitability of the content generated.


b. User Responsibility: All users of the Platform bear the ultimate responsibility for reviewing and validating any content, whether generated by AI or created by the user, before it's disseminated or made public. Users should ensure that the content adheres to applicable laws, standards, and the terms and conditions of the respective social media platforms to which they'll post.


c. User-Generated Content: Users have the ability to create, upload, or link their own content on the Platform. By doing so, users represent and warrant that they have all necessary rights to that content, it does not infringe or violate any third-party rights (including intellectual property rights), and it complies with all applicable laws and regulations.


d. Social Media Integration: By linking social media accounts to SocialAssist, users grant us the permission to access and post content on their behalf on these platforms. However, SocialAssist does not assume any liability for violations or repercussions that arise from content breaching the terms of service of the linked social media platforms.


e. Intellectual Property: Unless explicitly stated, the content generated by SocialAssist's AI remains the intellectual property of SocialAssist, and users are granted a license to use this content for personal or business purposes. However, content created, uploaded, or provided by users remains the intellectual property of those respective users.


f. Content Restrictions: Users must not create, upload, or disseminate any content that is defamatory, obscene, illegal, threatening, infringes on intellectual property rights, or otherwise injurious or objectionable. SocialAssist reserves the right, but is not obligated, to review, modify, or remove any content that does not adhere to these guidelines without any liability to the user.


g. Disclaimer: While SocialAssist takes reasonable measures to ensure the quality and appropriateness of content generated, it cannot be held liable for any damages, losses, or issues arising from the use, misuse, interpretation, or misrepresentation of such content.


h. Data Protection and Privacy: Content creation and dissemination through the Platform may involve processing personal data, especially when users link their social media accounts. All processing of personal data is in accordance with SocialAssist's Privacy Policy, and users should refer to it for more details on how personal data is used and protected.


By utilizing the content generation and dissemination services provided by SocialAssist, users acknowledge their responsibility for the content and confirm their adherence to these content-related terms and conditions.

User Submissions, Conduct, and Restrictions

a. User Submissions: The Platform may allow users to submit, post, upload, or otherwise make available content such as text, images, videos, comments, and other materials (collectively, "User Submissions"). Such User Submissions are the sole responsibility of the individual or entity who provided them.


b. Rights to User Submissions: By submitting content, users represent and warrant that they have all necessary rights and permissions to provide the content and grant the licenses herein to SocialAssist.


c. License Grant: By making a User Submission, users grant SocialAssist a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media. This is solely for the purpose of operating, improving, and promoting the Platform.


d. Prohibited Conduct: Users agree not to use the Platform to:

  • Post or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
  • Misrepresent their identity or affiliation.
  • Engage in unauthorized advertising or spam.
  • Introduce viruses, worms, or other malicious software to the Platform.
  • Attempt unauthorized access to any part of the Platform or systems connected to it.

e. Monitoring and Enforcement: While SocialAssist has no obligation to monitor User Submissions, it reserves the right, in its sole discretion, to review, modify, or remove any content at any time without notice, for any reason or no reason, including if it violates these Terms and Conditions.


f. Feedback: If users provide feedback, suggestions, or ideas about the Platform or any of SocialAssist’s services, they acknowledge that such feedback is not confidential and grant SocialAssist an unrestricted, perpetual, non-exclusive right to use any such material in any manner, without acknowledgment or compensation to the user.


g. Interactions with Others: Users are responsible for their interactions with other users of the Platform and any other parties they interact with through the Platform. SocialAssist reserves the right, but has no obligation, to become involved in disputes between users or between users and third parties.


h. Third-Party Links: The Platform may contain links to third-party websites or resources. Such links are provided for convenience only, and SocialAssist does not endorse, is not responsible for, and has no control over such external sites or resources. Users access and use these third-party links at their own risk.


i. Limitation of Use: SocialAssist reserves the right to limit or restrict access to the Platform for users who misuse the Platform or violate these Terms and Conditions.


By using the Platform, users acknowledge that they are responsible for their actions and User Submissions, and agree to conduct themselves in accordance with the aforementioned terms and any applicable laws and regulations.

Limitation of Liability and Indemnification

a. No Warranty: The services provided by SocialAssist, including content generated by the AI, are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.


b. Limitation of Liability: To the maximum extent permitted by applicable law, SocialAssist, its directors, employees, affiliates, or agents shall not be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, that result from the use of, or inability to use, the Platform.


c. User Responsibility: The users are solely responsible for ensuring that the content, whether generated by the AI or by the users themselves, meets their desired standards and is appropriate for public viewing. SocialAssist holds no liability for the implications, damages, or consequences of such content once it is published or disseminated.


d. Indemnification: Users agree to defend, indemnify, and hold harmless SocialAssist, its parent company, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:

  • User’s use and access to the Platform;
  • Violation of any term of these Terms and Conditions;
  • Violation of any third-party right, including without limitation any copyright, property, or privacy right; or
  • Any claim that User Submissions caused damage to a third party.

e. Dispute Resolution: In the event of any dispute arising out of or in relation to the Platform, the parties shall first attempt amicably to settle the dispute through mutual discussions. If the dispute is not settled amicably within thirty (30) days from the date of the dispute, it shall be resolved according to the laws of South Africa.


f. Exclusions: Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to certain users. In such jurisdictions, SocialAssist's liability will be limited to the maximum extent permitted by law.


By using the Platform, users acknowledge the potential risks associated with digital platforms and accept that SocialAssist has set limitations on its liability concerning potential issues or damages that may arise. Users agree to take necessary precautions and bear the primary responsibility for their interactions with the Platform.

Privacy, Data Protection, and User Information

a. Privacy Policy Acknowledgment: By using the Platform, users acknowledge that they have read and understood SocialAssist's Privacy Policy, accessible at socialassist.social/privacy, which outlines how personal data is collected, used, stored, and disclosed.


b. Data Protection Compliance: SocialAssist is committed to complying with all applicable data protection regulations and standards, including those pertinent to users in the EU, UK, Liechtenstein, Iceland, Norway, and the United States. We implement reasonable safeguards to protect user data from unauthorized access, use, alteration, or disclosure.


c. User Data: Users may be required to provide certain personal and non-personal information to use the Platform fully. This data may include but is not limited to names, email addresses, social media account details, and payment information. By providing such data, users consent to its collection, processing, and storage for the purposes outlined in our Privacy Policy.


d. User Rights: Depending on their jurisdiction, users may have certain rights related to their data, including:

  • The right to access their data;
  • The right to rectify inaccuracies in their data;
  • The right to request the erasure of their data;
  • The right to restrict the processing of their data; and
  • The right to data portability.
  • Users can exercise these rights by contacting SocialAssist directly.

e. Data Retention: SocialAssist retains user data only for as long as necessary to fulfill the purposes for which it was collected, including for the purposes of satisfying any legal, accounting, or reporting requirements.


f. Children's Data: SocialAssist does not knowingly collect or solicit personal information from anyone under the age of 18 or knowingly allow such persons to register. If you are under 18, please do not send any information about yourself to us, including your name, address, telephone number, or email address. In the event that we learn that we have collected personal information from a child under age 18 without verification of parental consent, we will delete that information as quickly as possible.


g. Third-party Services: The Platform may integrate with third-party services or platforms. While we strive to partner with trusted entities, we cannot control or assume liability for the practices of these third-party services. Users are encouraged to familiarize themselves with the terms and privacy policies of any third-party platforms they engage with through SocialAssist.

However, no digital platform is entirely secure, and while we strive to protect user data, we cannot guarantee its absolute security.


By engaging with the Platform, users consent to the collection, use, and storage of their data as outlined in this section and in SocialAssist's Privacy Policy. They acknowledge the inherent risks associated with online platforms and agree that SocialAssist has taken reasonable measures to protect user data.

International Users and Jurisdictional Matters

a. Global Access: While SocialAssist is based in South Africa, it is accessible to users around the world. Users from jurisdictions outside of South Africa should be aware that they are responsible for ensuring their use of the Platform complies with local laws and regulations.


b. Data Transfers: Given the global nature of the Platform, users' data may be transferred to, processed, and stored in countries outside of their jurisdiction. By using the Platform, users consent to such transfer, processing, and storage of their information in jurisdictions that may have different, and potentially less protective, data protection laws than their own.


c. Compliance with Regional Laws: SocialAssist makes efforts to ensure that the Platform is compliant with data protection and privacy laws for users in the EU, UK, Liechtenstein, Iceland, Norway, and the United States. Nonetheless, users from these regions are responsible for their adherence to their respective local laws and regulations.


d. Differences in Services: Due to differing local laws and regulations, certain services or features of the Platform might not be available in all jurisdictions. SocialAssist reserves the right to modify or discontinue services in specific regions based on local requirements.


e. Governing Law: These Terms and Conditions are governed by and construed in accordance with the laws of South Africa, without regard to its conflict of law principles. Any disputes arising out of or in connection with the Platform or these Terms and Conditions will be subject to the jurisdiction of the courts of South Africa.


f. Safe Harbor and Privacy Shield: While SocialAssist strives to adhere to recognized international data protection standards, users should be aware that mechanisms like the EU-US Privacy Shield may have undergone changes or revisions. It's the responsibility of users to stay updated about such international data transfer mechanisms and their applicability.


g. Local Representatives: To comply with specific regional data protection regulations, SocialAssist may appoint local representatives or data protection officers in regions where such appointments are required by law. Contact details for these representatives will be provided upon request.


h. Limitation on Liability: Users from jurisdictions that have laws, customs, or regulations that differ from South African laws acknowledge and agree that, to the fullest extent permitted by applicable law, they will not hold SocialAssist responsible for any actions or omissions that might be permissible under South African law but impermissible under the laws of their jurisdiction.


By accessing and using the Platform, international users acknowledge that they understand the jurisdictional nuances mentioned above and that they are responsible for compliance with any local laws and regulations that might be applicable.

Suspension, Termination, and Banning of Users

SocialAssist is committed to maintaining a respectful, safe, and lawful environment for all users. To protect the integrity of our platform and the interests of our community, we reserve the right to suspend, terminate, or ban any user account at our sole discretion under the following circumstances:


a. Abuse of Platform: If a user is found to be abusing the SocialAssist platform, including but not limited to, engaging in malicious activities, exploiting system vulnerabilities, or disrupting the normal operations of the service, we may take immediate action to suspend or terminate their access.


b. Violation of Social Media Platform Terms: As our service interacts with various social media platforms, users are expected to comply with the terms and conditions of these external platforms. If a user is found to be in violation of any social media platform's terms and conditions through content generated or actions taken via SocialAssist, we may suspend or terminate their account.


c. Prohibited Conduct: Engaging in prohibited conduct as outlined in our Terms and Conditions, including but not limited to, posting illegal, harmful, or offensive content, misrepresenting identity, or engaging in fraudulent activities, may result in immediate suspension or banning from the platform.


d. Investigation and Enforcement: We may investigate reported violations of our Terms and Conditions or external platform policies. During an investigation, we may suspend a user's account as a precautionary measure. If an investigation concludes that a violation has occurred, we may permanently ban the user from our platform.


e. Notification: In the event of a suspension, termination, or ban, the affected user will be notified using the contact information associated with their account. The notification will include the reason for the action taken and, in the case of a suspension, the duration and conditions for reinstatement, if applicable.


f. Appeal Process: Users who have been suspended or banned may appeal the decision by contacting SocialAssist support. The appeal must include a detailed explanation of the situation and any evidence that supports the user's case. SocialAssist will review the appeal and make a final decision at its discretion.

Service Availability and Downtime

a. Service Availability: SocialAssist strives to ensure maximum availability and reliability of the platform. However, users acknowledge that 100% availability is not feasible due to the nature of the internet and electronic communications. SocialAssist commits to maintaining the platform's availability as consistently as possible while allowing for necessary maintenance, updates, and unforeseen issues.


b. Scheduled Maintenance: To enhance the performance and security of the SocialAssist platform, scheduled maintenance will be conducted periodically. Whenever possible, maintenance will be scheduled during low-traffic hours to minimize disruption. SocialAssist will provide reasonable advance notice of any scheduled downtime, including the expected duration and the reason for the maintenance, through the platform's notification system or via email.


c. Unscheduled Downtime: In the event of unscheduled downtime due to unforeseen circumstances such as technical failures, cyber-attacks, or network issues, SocialAssist will take immediate steps to restore service and minimize the impact on users. Updates regarding the status of the service and the resolution of any issues will be communicated to users through the platform or via email as information becomes available.


d. User Responsibilities: Users are responsible for ensuring that they have an active and stable internet connection to access the SocialAssist platform. SocialAssist is not responsible for downtime or service disruptions caused by internet service provider failures, user hardware malfunctions, or other factors outside of SocialAssist's control.


e. Limitations of Liability: SocialAssist will not be liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the platform during periods of downtime or service disruptions. Users agree that the sole remedy for any service interruptions or loss of access is to discontinue use of the SocialAssist platform.


f. Updates and Communication: SocialAssist commits to providing timely and transparent communication regarding service availability, scheduled maintenance, and any issues affecting the platform. Users are encouraged to check the platform's official communication channels, such as the service status page, for updates and information.

Changes To Our Terms & Conditions

You acknowledge and agree that SocialAssist may stop (permanently or temporarily) providing the Service (or any features within the Service) to you or to users generally at sole discretion, without prior notice to you. You may stop using the Service at any time. You do not need to specifically inform SocialAssist when you stop using the Service. You acknowledge and agree that if SocialAssist disables access to your account, you may be prevented from accessing the Service, your account details or any files or other materials which is contained in your account.


If we decide to change our Terms & Conditions, we will post those changes on this page, and/or update the Terms & Conditions modification date below.

No Warranties

The website is provided to you "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind. To the maximum extent permitted under applicable law, SocialAssist, on its own behalf and on behalf of its affiliates and its and their respective licensors and service providers, expressly disclaims all warranties, whether express, implied, statutory or otherwise, with respect to the website, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage or trade practice. Without limitation to the foregoing, SocialAssist provides no warranty or undertaking, and makes no representation of any kind that the website will meet your requirements, achieve any intended results, be compatible or work with any other software, , systems or services, operate without interruption, meet any performance or reliability standards or be error free or that any errors or defects can or will be corrected.


Without limiting the foregoing, neither SocialAssist nor any SocialAssist's provider makes any representation or warranty of any kind, express or implied:

  • (i) as to the operation or availability of the website, or the information, content, and materials or products included thereon;
  • (ii) that the website will be uninterrupted or error-free;
  • (iii) as to the accuracy, reliability, or currency of any information or content provided through the website;
  • or (iv) that the website, its servers, the content, or e-mails sent from or on behalf of SocialAssist are free of viruses, scripts, trojan horses, worms, malware, timebombs or other harmful components.

Some jurisdictions do not allow the exclusion of or limitations on implied warranties or the limitations on the applicable statutory rights of a consumer, so some or all of the above exclusions and limitations may not apply to you.

Entire Agreement

The Agreement constitutes the entire agreement between you and SocialAssist regarding your use of the website and supersedes all prior and contemporaneous written or oral agreements between you and SocialAssist.


You may be subject to additional terms and conditions that apply when you use or purchase other SocialAssist's services, which SocialAssist will provide to you at the time of such use or purchase.

Your Consent

We've updated our Terms & Conditions to provide you with complete transparency into what is being set when you visit our site and how it's being used. By using our website, registering an account, or making a purchase, you hereby consent to our Terms & Conditions.

Indemnification

You agree to indemnify and hold SocialAssist and its parents, subsidiaries, affiliates, officers, employees, agents, partners and licensors (if any) harmless from any claim or demand, including reasonable attorneys' fees, due to or arising out of your:

  • a. use of the website;
  • b. violation of this Agreement or any law or regulation;
  • c. or violation of any right of a third party.

Updates to Our Terms

We may change our Service and policies, and we may need to make changes to these Terms so that they accurately reflect our Service and policies. Unless otherwise required by law, we will notify you (for example, through our Service) before we make changes to these Terms and give you an opportunity to review them before they go into effect. Then, if you continue to use the Service, you will be bound by the updated Terms. If you do not want to agree to these or any updated Terms, you can delete your account.

Intellectual Property

The website and its entire contents, features and functionality (including but not limited to all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof), are owned by SocialAssist, its licensors or other providers of such material and are protected by and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws. The material may not be copied, modified, reproduced, downloaded or distributed in any way, in whole or in part, without the express prior written permission of SocialAssist, unless and except as is expressly provided in these Terms & Conditions. Any unauthorized use of the material is prohibited.

Agreement to Arbitrate

This section applies to any dispute EXCEPT IT DOESN’T INCLUDE A DISPUTE RELATING TO CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF REGARDING THE ENFORCEMENT OR VALIDITY OF YOUR OR SocialAssist's INTELLECTUAL PROPERTY RIGHTS. The term “dispute” means any dispute, action, or other controversy between you and SocialAssist concerning the Services or this agreement, whether in contract, warranty, tort, statute, regulation, ordinance, or any other legal or equitable basis. “Dispute” will be given the broadest possible meaning allowable under law.

Notice of Dispute

In the event of a dispute, you or SocialAssist must give the other a Notice of Dispute, which is a written statement that sets forth the name, address, and contact information of the party giving it, the facts giving rise to the dispute, and the relief requested. You must send any Notice of Dispute via email to: [email protected]. SocialAssist will send any Notice of Dispute to you by mail to your address if we have it, or otherwise to your email address. You and SocialAssist will attempt to resolve any dispute through informal negotiation within sixty (60) days from the date the Notice of Dispute is sent. After sixty (60) days, you or SocialAssist may commence arbitration.

Miscellaneous

If for any reason a court of competent jurisdiction finds any provision or portion of these Terms & Conditions to be unenforceable, the remainder of these Terms & Conditions will continue in full force and effect. Any waiver of any provision of these Terms & Conditions will be effective only if in writing and signed by an authorized representative of SocialAssist. SocialAssist will be entitled to injunctive or other equitable relief (without the obligations of posting any bond or surety) in the event of any breach or anticipatory breach by you. SocialAssist operates and controls the SocialAssist Service from its offices in .
